Note: These terms cover the website and inquiry process. Client work is governed by a separate proposal and Statement of Work.


1) Acceptance of terms

By using the site or requesting a call, you agree to these terms.


2) Who we are and what we do

Sinfonica Strategies provides strategy consulting services across Puerto Rico. We meet clients at their sites and host focused working sessions or offsites when needed.


3) Site use

Use the site lawfully and do not try to disrupt it. Content is provided for general information and does not constitute legal, tax, or investment advice.


4) Booking and inquiries

When you submit a form or book a call, you confirm the information is accurate. We may reschedule if needed and will notify you promptly.


5) Proposals and engagements

Paid work begins only after both parties agree to a written proposal or Statement of Work that defines scope, timeline, responsibilities, and fees.


6) Fees and payments

Fees, expenses, and payment schedules are set in the proposal. Late payments may pause work. Taxes and third-party costs, if any, are client responsibilities unless stated otherwise.


7) Client responsibilities

Provide timely access to information, stakeholders, and tools. Assign owners for decisions and deliverables.


8) Confidentiality

Each party will protect the other’s confidential information and use it only for the engagement. Exceptions apply where disclosure is required by law.


9) Intellectual property

Pre-existing IP: Each party keeps what it owned before the engagement.

Work product: As defined in the Statement of Work. Typically, client owns deliverables created for the project. Sinfonica retains pre-existing methods and non-confidential know-how.

10) Testimonials and case studies

With written permission, we may reference non-confidential outcomes. We do not disclose sensitive details without consent.


11) Third-party tools

We may recommend or use third-party tools. You are responsible for your accounts with those tools unless the proposal states otherwise.


12) Disclaimers

We provide professional services with care and skill. Results depend on many factors, including market conditions and execution by your team. No outcome is guaranteed.


13) Limitation of liability

To the maximum extent allowed by law, neither party is liable for indirect or consequential damages. Direct liability, if any, is limited to fees paid in the prior three months for the service at issue.


14) Indemnification

You agree to indemnify Sinfonica for claims arising from your misuse of the site or materials, and we agree to indemnify you for claims arising from our willful misconduct or gross negligence.


15) Governing law and venue

These terms are governed by the laws of Puerto Rico and applicable U.S. federal law. Disputes will be handled in the courts of San Juan, Puerto Rico unless both parties agree otherwise.


16) Changes to terms

We may update these terms from time to time. Continued use of the site after changes means you accept the new terms.
